Terms of Service & Refund Policy

1. Who we are & what these terms cover
These Terms of Service ("Terms") govern your use of the websites, software, automations, and services provided by Ethos Visuals, operated by Mason Mantha (sole proprietor) of Kingston, Ontario, Canada ("we", "us", "our"). By checking the acceptance box and completing checkout, paying an invoice, or using the service, you ("you", "the Client") agree to these Terms — they form the binding agreement between you and Ethos Visuals, and no separate signed contract is required.
If you and Ethos Visuals separately sign a written service agreement (for larger or custom engagements), that signed agreement controls wherever it conflicts with these Terms.
2. The service
We provide branding, website design, video, and a subscription-based "Front Office System" — a website plus lead-capture, messaging, review, and reporting automations built on third-party platforms (including GoHighLevel for automation, Stripe for payments, and Google services). Specific inclusions are described on our pricing page, your order form, and discussed on your call.
We may improve, update, or change the underlying tools and features over time, provided we don't materially reduce what you're paying for without notice.
3. Billing & subscription terms
- Recurring billing. Paid plans are billed monthly in advance and renew automatically each month until cancelled. By subscribing, you authorize us (through our payment processor, Stripe) to charge your payment method the recurring fee plus applicable taxes (HST) on each renewal date, and any one-time setup fee, until you cancel.
- Prices are in Canadian dollars (CAD) unless stated otherwise.
- Price changes take effect with at least 30 days' notice; you may cancel before the new price applies.
- Failed payments. If a payment fails, we retry and notify you. Unresolved payments trigger the staged wind-down described in Section 4. Bringing your account current restores everything.
- Taxes are your responsibility where applicable.
4. Cancellation
- Plans are month-to-month with no long-term commitment and no buyout.
- To cancel, email mason@ethosvisuals.ca with 30 days' notice. Your service continues through the end of the current paid period, and we stop the next renewal.
- Any website we host as part of a subscription is part of that subscription, not a purchased asset. It is hosted on our platform and is not sold or transferred. When your subscription ends, the website and automations come down. Your domain stays in your name and your leads/contacts are exported to you — those are always yours.
- You can also stop future renewals by cancelling the subscription from any billing link we've provided; email notice is the reliable record.
What happens if a payment fails (delinquency)
A failed payment is not the same as cancelling. If a monthly payment fails, we wind the service down gradually — not all at once — so an expired card doesn't cost you your online presence:

| Day 60 | Website is taken down. |
| Day 90 | Your data and leads are retained until this point so you can restore instantly by paying the balance, then permanently deleted. |
Bringing your account current at any point before Day 90 restores everything.
5. Refund policy
We want you happy, so here's the plain version:
- One-time setup / build fee: because this covers work we perform up front (build, account setup, phone/A2P registration, configuration), it is non-refundable once work has begun. If you cancel before we start building, we'll refund the setup fee minus any third-party costs already incurred (for example, domain registration).
- Monthly subscription fees: monthly fees pay for that month's active service and are non-refundable, including for partial months. When you cancel, you simply aren't billed again — you keep the service through the period you've paid for.
- Our error: if we bill you in error (double charge, charge after a confirmed cancellation), we'll refund it promptly.
- Chargebacks: please email us first — we resolve billing issues fast and directly. Filing a chargeback without contacting us may result in suspension of the service.
This policy doesn't limit any non-waivable rights you have under Ontario's Consumer Protection Act, 2002 or other applicable law.
6. Your responsibilities & acceptable use
You agree to:
- Provide accurate business information and the content/access needed to deliver the service.
- Keep your login and payment details current and secure.
- Use any messaging/SMS features only for contacts who have reached out to you or consented — no cold, bulk, or spam messaging. This protects your phone number, complies with carrier (A2P/10DLC) and anti-spam law (Canada's CASL), and keeps our platform in good standing.
- Not use the service for anything unlawful, misleading, or that infringes someone else's rights.
We may suspend or terminate service for non-payment, abuse, or violation of these Terms.
7. Intellectual property
- You keep your stuff: your logo, photos, copy you provide, your domain, and your customer/lead data remain yours. We'll export your lead data to you on request or at cancellation.
- We keep ours: our systems, automation templates, dashboards, and configurations are our intellectual property, licensed to you only while your subscription is active. They don't transfer to you.
- Your domain stays registered in your name; we simply connect it.
8. Third-party platforms
The service runs on third-party platforms (GoHighLevel, Stripe, Google, telecom carriers). Your use of those is also subject to their terms. We're not responsible for their outages, policy changes, pricing, or availability, and such events aren't a breach of these Terms by us.
9. No guaranteed results
We build and operate the system professionally, but we do not guarantee any specific number of leads, calls, customers, or revenue. Outcomes depend on your market, pricing, responsiveness, and demand.
10. Disclaimers & limitation of liability
- To the extent permitted by law, the service is provided "as is" and "as available."
- We are not liable for indirect, incidental, or consequential damages (including lost profits or lost leads).
- Our total liability to you for any claim is limited to the amount you paid us in the one (1) month before the claim arose.
- Nothing here excludes liability that can't legally be excluded, including under Ontario consumer protection law.
11. Confidentiality & privacy
We handle your business and customer data in line with our Privacy Policy and applicable Canadian privacy law (PIPEDA). We use your data only to provide the service.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email or on our website, with an updated "Last updated" date. Continued use after changes take effect means you accept them.
13. Governing law & contact
- These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there.
